Welcome to Oohlocal ("Oohlocal," "we," "us," or "our"). We are a federal Canadian corporation incorporated under the Canada Business Corporations Act (CBCA) with our corporate headquarters located in the Province of Ontario, Canada. These Terms of Service ("Terms") govern your access to and use of our website, mobile applications, software, products, and services (collectively, the "Platform"), spanning users, businesses, and partners located throughout Canada and the United States.
PLEASE READ THESE TERMS CAREFULLY. BY ACCESSING, REGISTERING FOR, OR USING THE OOHLOCAL PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND OUR PRIVACY POLICY. IF YOU DO NOT AGREE TO ALL OF THESE TERMS, YOU MUST IMMEDIATELY DISCONTINUE USE OF THE PLATFORM.
1. Acceptance and Modification of Terms
1.1 Binding Agreement
These Terms constitute a legally binding agreement between you (either an individual or a single legal entity) and Oohlocal regarding your use of the Platform.
1.2 Modifications
We reserve the right, at our sole discretion, to modify, amend, or update these Terms at any time. When we make material changes, we will provide notice through the Platform, via email, or by updating the "Last Updated" date at the top of this document. Your continued use of the Platform following the posting of changes constitutes your acceptance of such changes. It is your responsibility to review these Terms periodically.
2. Description of Services
Oohlocal provides a dynamic digital platform designed to connect local consumers, merchants, and service providers across Canada and the United States. Our services may include directory listings, promotional tools, advertising spaces, transaction processing, user reviews, and communication features. We act primarily as an intermediary platform and do not directly own, control, or manage the independent businesses or services advertised or listed on Oohlocal, unless explicitly stated otherwise.
3. User Accounts and Eligibility
3.1 Eligibility
To use the Platform, you must be at least the age of majority in your jurisdiction of residence (18 or 19 years old depending on your Canadian province/territory or US state) and possess the legal capacity to enter into a binding contract. If you are using the Platform on behalf of a corporate entity, you represent and warrant that you have the authority to bind that entity to these Terms.
3.2 Account Registration
You may be required to create an account to access certain features of the Platform. You agree to:
- Provide accurate, current, and complete information during registration;
- Maintain and promptly update your account information;
- Maintain the security and confidentiality of your login credentials;
- Accept full responsibility for all activities that occur under your account.
4. Acceptable Use Policy
When using the Oohlocal Platform, you agree not to engage in any of the following prohibited activities:
- Violating any applicable local, provincial, state, federal, or international laws or regulations in Canada or the United States;
- Infringing upon or violating the intellectual property, privacy, publicity, or other rights of Oohlocal, other users, or third parties;
- Uploading, posting, transmitting, or distributing any content that is unlawful, defamatory, libelous, harassing, abusive, fraudulent, obscene, or racially or ethnically offensive;
- Attempting to probe, scan, or test the vulnerability of the Platform or breach any security or authentication measures;
- Using any automated system, scraper, robot, or spider to access, harvest, or extract data from the Platform without our express written authorization;
- Transmitting any viruses, malware, worms, or other malicious code designed to disrupt, damage, or limit the functionality of any software, hardware, or telecommunications equipment.
5. Intellectual Property Rights
5.1 Ownership
The Platform, including all text, graphics, user interfaces, visual interfaces, photographs, trademarks, logos, sounds, music, artwork, computer code, and the design, structure, selection, coordination, expression, and arrangement of such content (collectively, "Oohlocal IP"), is owned, controlled, or licensed by or to Oohlocal, and is protected by Canadian, United States, and international copyright, trademark, patent, trade secret, and other intellectual property laws.
5.2 Limited License
Subject to your compliance with these Terms, Oohlocal grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your personal or internal business use. You may not copy, reproduce, republish, upload, post, publicly display, encode, translate, transmit, or distribute any part of the Platform to any other computer, server, website, or medium without Oohlocal's prior written consent.
5.3 User-Generated Content
By submitting, posting, or displaying content (such as reviews, comments, business profiles, and images) on or through the Platform, you grant Oohlocal a worldwide, perpetual, irrevocable, non-exclusive, royalty-free, transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content in any media. You represent and warrant that you own or have the necessary rights to all content you submit.
6. Privacy and Data Protection
Our collection, use, and disclosure of personal information are governed by our Privacy Policy, which is incorporated into these Terms by reference. As a federal Canadian corporation operating across Canada and the United States, we comply with applicable privacy laws, including the Personal Information Protection and Electronic Documents Act (PIPEDA), applicable Canadian provincial privacy statutes, and relevant United States federal and state privacy frameworks (such as CCPA/CPRA where applicable).
7. Fees, Subscriptions, and Payments
7.1 Fees
Certain features, listings, or services on Oohlocal may require payment of fees. All fees are quoted in the designated currency (CAD for Canadian users/transactions, USD for United States users/transactions, as applicable) and are non-refundable unless otherwise stated explicitly in writing.
7.2 Taxes
You are responsible for paying all applicable taxes associated with your use of the Platform or purchase of services, including Goods and Services Tax (GST), Harmonized Sales Tax (HST), provincial sales taxes, and U.S. state and local sales or use taxes.
7.3 Auto-Renewal
If you sign up for a subscription-based service, your subscription will automatically renew at the end of each billing cycle unless you cancel it prior to the renewal date through your account settings.
8. Disclaimers and Limitations of Liability
8.1 "As-Is" Basis
THE OOHLOCAL PLATFORM AND ALL CONTENT, SERVICES, AND PRODUCTS PROVIDED THROUGH IT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, OOHLOCAL EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
8.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL OOHLOCAL, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE PLATFORM; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE PLATFORM; OR (III) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT OOHLOCAL HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.
8.3 Liability Cap
IN NO EVENT SHALL OOHLOCAL'S AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS RELATING TO THE PLATFORM EXCEED THE GREATER OF THE AMOUNT PAID BY YOU TO OOHLOCAL IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR ONE HUNDRED CANADIAN DOLLARS ($100 CAD).
9. Indemnification
You agree to defend, indemnify, and hold harmless Oohlocal, its parent company, subsidiaries, affiliates, partners, officers, directors, agents, and employees from and against any and all claims, liabilities, damages, losses, obligations, costs, debt, and expenses (including reasonable legal and accounting fees) arising out of or in any way connected with:
- Your access to or use of the Platform;
- Your violation of any provision of these Terms;
- Your violation of any third-party right, including without limitation any intellectual property, privacy, or proprietary right; or
- Any content you submit, post, or transmit through the Platform.
10. Governing Law, Jurisdiction, and Dispute Resolution
10.1 Governing Law
These Terms shall be governed by, construed, and enforced in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.
10.2 Jurisdiction
For users residing in Canada or any jurisdiction where mandatory local forum rules do not dictate otherwise, you agree that any legal action or proceeding arising out of or relating to these Terms or the Platform shall be brought exclusively in the courts located in Toronto, Ontario, and you hereby irrevocably consent to the personal jurisdiction and venue of such courts.
10.3 Dispute Resolution for US Users
For users residing in the United States, any dispute, controversy, or claim arising out of or relating to these Terms, including their formation or breach, shall be settled by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The place of arbitration shall be determined mutually, and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.
11. Termination and Suspension
11.1 Termination by Oohlocal
We reserve the right to suspend, disable, or terminate your account and access to the Platform at our sole discretion, without prior notice or liability, for any reason whatsoever, including if we determine that you have breached any provision of these Terms.
11.2 Termination by User
You may terminate your account at any time by discontinuing use of the Platform and following the account closure procedures outlined in your account settings.
11.3 Survival
All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
12. Miscellaneous Provisions
12.1 Entire Agreement
These Terms, together with the Privacy Policy and any other legal notices published by Oohlocal on the Platform, constitute the entire agreement between you and Oohlocal regarding your use of the Platform.
12.2 Severability
If any provision of these Terms is found to be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of any remaining provisions.
12.3 Waiver
No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and Oohlocal's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
12.4 Assignment
You may not assign or transfer these Terms, by operation of law or otherwise, without Oohlocal's prior written consent. Oohlocal may assign or transfer these Terms freely and without restriction.
